CBD BioCare Independent Partner Agreement

Version v1. Please read this Agreement, then return to your HQ to sign.

This Independent Partner Agreement ("Agreement") is entered into between Kushy Enterprises, LLC d/b/a CBD BioCare, a Florida limited liability company ("Company," "we," "us"), and the individual accepting this Agreement electronically ("Partner," "you"). This Agreement is effective on the date you sign it electronically (the "Effective Date"). By checking the acceptance box, typing your name, and clicking to sign, you agree to the terms below.

1. What this is (and isn't)

You are enrolling as an independent Partner in the CBD BioCare referral program. You earn commissions when people you refer buy products through your personal referral link, store, or coupon.

This is not employment. You are an independent contractor, not an employee, agent, partner, or franchisee of the Company.
It is free, always. There is no fee to join and no purchase is ever required — not to enroll, not to stay active, not to earn.
You run your own business. You decide when, where, and how you promote, subject only to the conduct and compliance rules in Sections 6–7.

2. Enrollment and your account

You must be at least 18 years old and legally able to enter a contract.
You'll receive a Partner account, a unique referral link/code, a personal store page, and access to the Company's AI-powered Partner tools (the "Platform").
Keep your contact and payment information current. You're responsible for activity under your account.

3. The Platform and your license to use it

The Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform, your referral link/code, and Company-provided marketing assets solely to promote CBD BioCare products while this Agreement is in effect. The Platform, brand, trademarks, product images, and copy remain the Company's property. Content you create about the products is yours, but you grant the Company a non-exclusive license to reshare Partner content you submit through the Platform.

4. How you earn — commission structure

You earn a commission on the Net Sale amount of each qualifying order placed through your referral link, store, or personal coupon. "Net Sale" means the product subtotal actually paid, excluding shipping, taxes, and any amounts later refunded, charged back, or canceled.

A New Customer always pays you 5 percentage points more than your repeat rate, at every tier. A "New Customer" is a customer placing their first-ever order with CBD BioCare attributed to you; a "Repeat Customer" is any subsequent order.

Advancement is earned by acquiring New Customers, not by sales volume to the same people. Maintaining Builder: reviewed quarterly; keep it with at least 2 New Customers per calendar quarter. We'll warn you before any change, and you can instantly re-earn Builder — no need to redo the journey.

5. Founding Partner (legacy) status — for existing reps

If you were an existing CBD BioCare representative as of June 15, 2026 and you start your training journey and sign this Agreement on or before July 15, 2026, you qualify as a Founding Partner: your New-Customer rate is locked at 35% at every tier, for as long as your account remains active. Your repeat-customer rate still follows the standard ladder. If you don't claim Founding status by the deadline, you continue on the standard new-Partner ladder. This offer is one-time and tied to the claim window.

6. Getting paid

You never have to claim or report a sale. If a sale is attributed to you, it is tracked and credited automatically. (You need a signed agreement and payment details on file before funds are released.)
Commissions are credited as orders are approved (past the refund/return window).
Signing this Agreement is required before any commission is paid out. You can explore the Platform freely before signing.
Residual cap — 4 orders. You earn commission on a given customer's first four (4) orders attributed to you.
Payouts are issued by bank transfer (ACH / direct deposit) once per month, on the 15th, for the prior calendar month, once your balance reaches the $50 minimum (balances below roll over).
Refunds, chargebacks, and canceled orders reverse the related commission.
You are responsible for your own taxes; we'll issue a Form 1099 if required, and you'll provide a Form W-9 before your first payout.
No overrides / no recruitment commissions. You earn on the sales you drive.

7. How you must promote — conduct and compliance

No medical or disease claims (FDA). Never state or imply that the products diagnose, treat, cure, prevent, or relieve any disease or health condition. Speak to wellness, routine, quality, and lab testing, and keep the FDA disclaimer with product claims.

No income or earnings claims (FTC). Do not promise or imply specific earnings, "easy money," "passive income," or guaranteed results.

Honest, disclosed promotion. Disclose your Partner relationship when you recommend products. Follow FTC endorsement rules and email/text laws (CAN-SPAM, TCPA).

Stay on-brand and lawful. Don't misrepresent the products, Company, or prices; don't misuse trademarks or impersonate the Company; don't bid on Company brand terms in paid search. Selling on Amazon is not permitted. Don't sell on unauthorized marketplaces (including Amazon and eBay) or coupon/deal sites without written approval.

No self-dealing. Commissions are for sales to others. Violations can result in withheld commissions, suspension, or termination.

8. Promotions and bonuses

The Company may offer temporary, discretionary target bonuses. These are extras announced separately, are not part of the commission ladder, and can change or end at any time.

9. Confidentiality

Non-public information you receive through the Platform is confidential; use it only to run your Partner business. Customer personal information must be handled per applicable privacy law and only for fulfilling and supporting referred orders.

10. Term and termination

This Agreement starts on the Effective Date and continues until terminated. Either party may terminate at any time, for any reason, with notice. On termination, your license ends; commissions already approved and earned will be paid, while unearned/pending amounts will not, and amounts tied to later-reversed orders may be clawed back. Sections 6, 7, 9, 11, 12, and 13 survive termination.

11. No guarantees

The Company does not guarantee any income, number of sales, or results. The Platform and tools are provided "as is," and AI-generated content is a drafting aid you should review before using.

12. Limitation of liability and indemnification

To the maximum extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages, and its total liability will not exceed the commissions paid to you in the 6 months before the claim. You agree to indemnify the Company for claims arising from your breach or your promotional conduct.

13. General terms

Changes. The Company may update the Platform, commission structure, bonuses, and these terms on reasonable notice; continued participation means acceptance. Commissions already earned will not be retroactively reduced.
Governing law / disputes. Governed by the laws of the State of Florida. Disputes resolved by binding arbitration on an individual basis in Florida, with a class-action waiver.
Assignment. You may not assign this Agreement; the Company may.
Severability. If any provision is unenforceable, the rest remains in effect.
Entire agreement. This is the entire agreement about the Partner program and supersedes any prior representative agreement or terms.

14. Electronic signature and consent

You agree to do business electronically and that your electronic signature is legally binding under the U.S. ESIGN Act and applicable UETA. By checking the acceptance box, typing your full legal name, and clicking "Sign & Agree," you are signing this Agreement. We record your typed name, the date and time, and your IP address as evidence of your signature, and you may request a copy at any time.
